These Terms of Service ("Terms") govern the websites, applications, and related services provided by Sky Palette Technologies LLC ("Sky Palette," "we," "us," or "our"). They include our Refund & Dispute Policy and Cancellation Policy. Please read them carefully. By engaging Sky Palette or using our services, you agree to these Terms.

Who we are
Sky Palette Technologies LLC is a software company that designs and builds custom websites and web applications for business clients, and provides the tools those businesses need to reach and serve their own customers — including email and SMS notifications and the ability to accept payments securely. We are based in Frisco, Texas, United States.
Services we provide
- Custom websites and applications: bespoke, on-brand websites and web applications, designed and built for each client, and launched and maintained on their behalf.
- Audience experiences: interactive apps and portals that keep a client's customers, guests, or members informed and engaged.
- Messaging and notifications: email and SMS communications sent on behalf of our clients, with consent, as described in our Messaging Terms.
- Payments and commerce: the applications we build can securely accept payments, so our clients can charge their own customers for their products and services through trusted, industry-standard payment providers.
Engagements & billing
Work with Sky Palette is provided under an agreement, proposal, statement of work, or order that describes the specific services, deliverables, and fees for your engagement. Where those terms and these Terms conflict, the signed agreement or order controls for that engagement.
- Fees, deposits, and billing schedules (one-time, milestone, or recurring) are set out in your agreement or order.
- A deposit or initial payment may be required before work begins.
- Recurring fees (for example, for hosting, maintenance, or ongoing services) renew automatically for successive terms until cancelled as described below.
- Invoices are due on the terms stated. We may pause or suspend services for accounts that are past due.
Payments we process
Payments to businesses that use our platform. Some applications we build let our clients accept payments from their own customers. When you buy something from, or make a payment to, a business that uses Sky Palette to power its website or app, that purchase is a transaction between you and that business and is governed by that business's own terms, pricing, and refund and cancellation policies. Requests about those purchases — including refunds, cancellations, and disputes — should be directed to the business you purchased from.
Payments are handled by trusted, industry-standard third-party payment providers. Sky Palette does not store full payment card numbers; card data is processed directly by our payment providers under their own terms and security standards. The Refund & Dispute Policy and Cancellation Policy below apply to fees you pay to Sky Palette for our own services.
Refund & Dispute Policy
Our work is custom and project-based, and we begin committing time and resources as soon as an engagement starts. This policy applies to fees paid to Sky Palette for our own services.
- Deposits and completed work are non-refundable. Deposits, setup fees, and amounts for work already performed or delivered are not refundable, as they cover time and resources already committed.
- Other refunds are reviewed case by case. If you believe a refund is warranted, contact us and we will review your request in good faith, taking into account the work performed and the circumstances.
- Recurring fees already billed for the current term are non-refundable; you will not be charged for future terms after you cancel (see Cancellation Policy).
- Approved refunds are issued to the original payment method within a reasonable time.
Billing questions and disputes
If you have a question or concern about a charge from Sky Palette, please contact us first at hello@skypalette.ai so we can resolve it quickly. We aim to respond to billing inquiries promptly and to work with you toward a fair resolution before any dispute is escalated.
Cancellation Policy
You may cancel an engagement or an ongoing (recurring) service at any time by contacting us at hello@skypalette.ai or as described in your agreement.
- Ongoing services: cancellation takes effect at the end of the current billing term. You keep access through the term you have already paid for, and you will not be billed for further terms.
- Project work: if you cancel a project in progress, you remain responsible for fees for work performed up to the cancellation, and deposits remain non-refundable as described above.
- Cancellation by us: we may suspend or cancel services for non-payment, violation of these Terms, or misuse of our services. Where practical, we will give notice and an opportunity to resolve the issue first.
- After cancellation: we will work with you in good faith on an orderly wind-down and any data export, subject to amounts owed.
Acceptable use
You agree not to use our services to break the law, infringe others' rights, send messages without proper consent, distribute malicious code, or interfere with the security or operation of our services. We may suspend access to protect our services, our clients, or others.
Intellectual property
Ownership of the deliverables we create for a client is set out in that client's agreement. Sky Palette retains ownership of its own pre-existing tools, frameworks, and know-how. Content and materials a client provides remain the client's property. You may not copy or reuse Sky Palette's branding or proprietary materials without permission.
Third-party services
Our services rely on trusted third-party providers, including hosting, email and SMS delivery, and payment processing. Your use of those features may also be subject to the applicable provider's terms. We are not responsible for the acts or omissions of third-party providers beyond our reasonable control.
Disclaimers & limitation of liability
We provide our services with reasonable care and skill. Except as expressly stated in a signed agreement, our services are provided "as is" without warranties of any kind, to the fullest extent permitted by law. To the fullest extent permitted by law, Sky Palette's total liability arising out of or relating to the services will not exceed the amounts you paid to Sky Palette for the services giving rise to the claim in the twelve months before the claim, and we will not be liable for indirect, incidental, or consequential damages.
Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Texas, unless your signed agreement states otherwise.
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be reflected on this page, and continued use of our services after a change means you accept the updated Terms.
